NNPC Recruitment: Lead, Corporate Law & Board Matters

The Nigerian National Petroleum Corporation (NNPC) is currently seeking qualified candidates for the position of Lead, Corporate Law & Board Matters. This role is crucial for ensuring that NGIC’s (NNPC Gas Infrastructure Company) business operations are compliant with existing laws and regulations.

The successful candidate will also coordinate the legal aspects of strategic planning and manage the secretarial functions of the Board of Directors, Shareholders, MEXCOM, and other management committees.

Objectives

The primary objectives for the Lead, Corporate Law & Board Matters are:

  • Ensuring NGIC’s business operations conform to current laws and regulations.
  • Administering the secretarial functions of the Board of Directors, Shareholders, MEXCOM, and other Management Committees.
  • Overseeing compliance with Corporate Governance Principles, Petroleum Industry Act (PIA), Companies and Allied Matters Act (CAMA), and liaising with regulatory agencies to support business continuity and mitigate risks, revenue loss, penalties, and disbarment.

Key Responsibilities

The Lead, Corporate Law & Board Matters will have a diverse range of responsibilities, including:

  1. Regulatory Compliance and Advisory
    • Provide advice and drive negotiations on regulatory compliance issues with government agencies and local authorities.
    • Advise the Board of Directors on good corporate governance practices and ensure all Board Committees are duly constituted according to the Nigerian Code of Corporate Governance.
    • Ensure adherence to CAMA, NCCG Rules, and other relevant regulations governing the Board’s activities.
  2. Strategic Legal Support
    • Interface with the Planning & Commercial Division to provide legal advice on strategic planning.
    • Keep and manage NGIC’s statutory and regulatory compliance register.
    • Liaise with departments and divisions to ensure adherence to all legal and statutory requirements, and enforce internal compliance with local and international standards, operational guidelines, policies, and procedures.
  3. Legal Analysis and Documentation
    • Analyze and review legislations, regulations, rules, and operational policies as required for management and the Board.
    • Provide legal advice on a broad range of corporate matters, including employment issues, HR issues, licensing issues, and other business matters.
    • Ensure compliance with ISO Quality Management Systems (QMS) and other relevant standards.
  4. Regulatory Interaction and Compliance
    • Interface with regulators on various statutory and regulatory issues, including procurement or renewal of operational licenses and permits.
    • Ensure compliance with reporting requirements and resolution of compliance issues.
    • Liaise with the General Counsel to organize training programs for directors, board retreats, and handle board welfare issues.
  5. Statutory Filings and Compliance
    • Ensure all NGIC’s statutory filings are up-to-date at the Corporate Affairs Commission (CAC).
    • Ensure organizational compliance with all extant laws and statutes.
    • Disseminate new regulations and policies to departments/divisions and engage accordingly to monitor compliance.

Educational Qualifications

Candidates must possess the following educational qualifications:

  • Bachelor’s Degree in Law (LL.B.) and Barrister-at-Law (B.L.) qualification.
  • Call to Bar is a must.
  • Master’s in Law (LL.M) or any other relevant post-graduate degree and professional qualification is an added advantage.

The role requires a wide range of competencies, including:

  • Knowledge of oil and gas industry regulations.
  • Corporate governance knowledge and relevant skills.
  • Legal case handling, analytics, and advisory skills.

Experience

Candidates should have:

  • A minimum of 9 years of relevant post-qualification experience.
  • Experience in the oil and gas industry will be an added advantage.
