Objectives
The primary objective of the Corporate Law & Board Matters Specialist is to perform company secretarial duties and functions within NGML. This includes providing legal opinions, advisory services, and ensuring compliance with relevant policies and legislation to manage the company’s legal risk exposure.
Key Responsibilities
- Legal Advisory Services
- Provide qualitative legal opinions and advisory services on all environmental matters, compliance issues, policies, legislation, and personnel issues.
- Develop a robust legal framework for corporate relationships.
- Offer legal advice and guidance to the Board, Board Committees, and the Management Executive Committee (MEXCOM) on corporate governance issues.
- Company Secretarial Duties
- Ensure all Management Executive Committee Meetings (MEXCOM) are organized and participate in these meetings.
- Review minutes of Board, Board Committees, and MEXCOM meetings.
- Provide company secretariat services, ensuring all corporate governance practices are adhered to.
Educational Qualification
Candidates must meet the following educational qualifications:
- A first degree in Law.
- Barrister at Law (BL) qualification is a must.
- Must have been called to the Bar.
- A Master’s degree in Law or any other relevant post-graduate degree or professional qualification is an added advantage.
Experience
Candidates should have:
- A minimum of 9 years of relevant post-qualification experience.
- Experience in the oil and gas industry will be an added advantage.
- Age limit: 37 years.
Competence
The ideal candidate should possess a wide range of competencies, including:
- Legal and solicitation skills.
- Secretariat management skills.
- Corporate governance skills.
- Knowledge of laws and regulations related to corporate formation.
- Knowledge of laws relating to financing, mergers and acquisitions, securities, and compliance.
